These Terms of Service ("Terms") govern your access to and use of the SPO.expert website and supply path optimization platform (collectively, the "Service"), operated by SPO.expert ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
SPO.expert provides a supply path optimization platform for programmatic advertising. The Service enables users to analyze supply paths, identify inefficiencies and hidden costs, optimize SSP/DSP relationships, visualize programmatic supply chains, and monitor supply chain performance. The specific features and functionality of the Service may change from time to time.
3. Account Registration
To access certain features of the Service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service in any way that violates applicable local, national, or international law or regulation

We reserve the right to modify our pricing with at least 30 days' notice before the start of a new billing cycle.

We do not warrant that the Service will meet your specific requirements, that results obtained from the Service will be accurate or reliable, or that any errors in the Service will be corrected.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPO.EXPERT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:
- Your use of or inability to use the Service
- Any unauthorized access to or alteration of your data
- Any third-party conduct on the Service
- Any other matter relating to the Service
Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless SPO.expert and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Term and Termination
The term of use, termination conditions, notice periods, and any associated obligations shall be governed by the signed agreement between the parties. In the absence of a signed agreement, either party may terminate access to the Service upon 30 days' written notice.
Upon termination of the signed agreement or these Terms:
- Your right to access and use the Service will cease as specified in the signed agreement
- We may delete your account and associated data after the retention period defined in the signed agreement (or 90 days if not specified), unless legally required to retain it
- Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and governing law
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SPO.expert is incorporated, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by applicable law.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Service.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SPO.expert regarding the Service and supersede all prior agreements, communications, and understandings.
